Terms of service

The commercial terms every engagement starts from. A signed statement of work can vary them; this page is the default.

Contact: contact@jdai.solutions. This document is a working draft pending review by counsel; the substance is how we already operate.

01Scope and quotes

Work after the audit begins with a written statement of work that fixes scope, deliverables, timeline and price. Quotes are fixed for the scope described. Changes are quoted in writing before they are built.

02Stages and stopping

Engagements run in stages (audit, pilot, build, launch, managed scale). You may stop after any completed stage. Completed stages are invoiced; incomplete stages are not.

03Ownership

All code, configuration, prompts, documentation and accounts created for you are yours from the moment they are created. Work is performed in repositories and cloud accounts you own. We retain the right to reuse general know-how and non-client-specific tooling.

04Third-party services

Voice, model, hosting and messaging providers are contracted in your name where possible. Their terms and fees apply to you directly. We advise on selection but do not resell their services unless a statement of work says so.

05Payment

Invoices are due within 14 days unless agreed otherwise. Pilot stages are typically invoiced on completion; build stages in agreed milestones; managed scale monthly in advance. Late payment pauses work after written notice.

06Confidentiality

We treat everything we see in your business as confidential and sign an NDA before any audit that touches production data. We do not publish a case study, logo or quote without your written approval.

07Acceptable use

We do not build systems designed to deceive users about whether they are talking to an AI, to make automated calls without a lawful basis, or to process data without a lawful basis. If a request crosses that line we will say so and decline.

08Warranties and liability

We warrant that work is performed with professional skill and that delivered systems match the statement of work at handover. Beyond that, systems are provided as described and our total liability for an engagement is capped at the fees paid for that engagement, excluding liability that cannot be limited by law. AI systems produce probabilistic output; we design guardrails but do not warrant that any individual output is correct.

09Governing law

To be fixed with the legal entity: Polish law for EU clients, the law of the client's state for US clients, unless the statement of work says otherwise.
